Government plans discount for women, seniors and retail investors in debt market investments

Mumbai. The Central government is planning to offer discounts and benefits to senior citizens, women, and retail investors who invest in the debt market. The Securities and Exchange Board of India (SEBI) released a proposal on Monday outlining how such incentives can be introduced for specific categories of investors.

According to SEBI’s draft plan, companies or the government issuing bonds will be allowed to offer a slightly higher interest rate or a discount on the issue price to certain investor groups. The move aims to attract small investors and improve liquidity in the bond market, which has traditionally seen low retail participation.

What the debt market is and why incentives are planned

The debt market is a financial platform where companies and governments raise funds by issuing bonds or debentures. In simple terms, it is like borrowing money from investors in return for a fixed rate of interest. For example, gold bonds are one form of debt instruments. However, India’s debt market has struggled with limited investor interest, particularly in the secondary market, where existing bonds are bought and sold.

The low liquidity makes it difficult for investors to sell bonds easily when they need cash. To counter this, SEBI is planning to allow issuers to offer small incentives such as cashbacks or reduced fees to attract more participation from retail investors.

Proposal aims to attract long-term bond buyers

As per SEBI’s proposal, issuers of long-duration bonds—typically those with maturity between five and ten years—can offer incentives to specific investors. These benefits may come in the form of cashback, lower transaction fees, or other financial advantages. The aim is to make long-term investments more appealing to small investors and create a more balanced and active debt market.

However, these benefits will only apply to those purchasing the bonds directly during the initial issue. Investors who later buy these bonds from others in the secondary market will not be eligible for the same discounts or higher interest rates. This condition ensures that the incentives are targeted only at first-time buyers and not traders.

Existing restrictions on bond-related incentives

Currently, SEBI’s rules do not permit any company issuing bonds or its affiliates to offer gifts, rewards, or discounts to attract investors. The new proposal seeks to create a regulated framework that allows controlled incentives, ensuring transparency and fairness. The regulator believes this will encourage more households and small investors to enter the debt market, which has long been dominated by institutional investors.

Expected impact on investment trends

If approved, this move could make debt instruments more attractive to small and first-time investors. It may also help deepen India’s bond market, offering individuals a safer alternative to equities while enabling companies to raise funds at competitive rates. The initiative reflects SEBI’s broader goal of improving retail participation and liquidity across financial markets.
