Vedanta demerger to take effect from May 1, shareholders to receive four new shares

Winning Bizness Desk

Mumbai.Vedanta Group has set May 1 as the effective date for its long-awaited demerger, marking a major restructuring of the Anil Agarwal-led conglomerate. The company informed stock exchanges that the process will split Vedanta Limited into five separate listed entities. Shareholders holding the stock on the record date will receive one share each in four newly created companies for every existing share they own. The move is aimed at unlocking value and giving each business vertical independent growth focus.

Five entities to operate independently post split

From May 1, Vedanta Limited will function as five distinct listed companies. The parent entity will retain its base metals business, while four new companies will be carved out across key sectors. These include aluminium, power, iron and steel, and oil and gas businesses. Each unit is expected to operate independently with its own strategy, management focus and investor base, improving transparency and efficiency across operations.

Shareholders to get four additional company stocks

Under the approved scheme, investors will benefit directly from the restructuring. The share distribution will follow a one-to-one ratio across new entities. This means portfolio expansion without additional investment. Key highlights include:

  • One new share in each of four companies per Vedanta share
  • Record date fixed as May 1, 2026
  • Separate listings planned for all new entities
  • Aim to improve valuation visibility across businesses

This structure is designed to give investors exposure to specialised sectors instead of a single diversified entity.

Company names, assets and structure see key changes

As part of the transition, some existing entities will be renamed to align with Vedanta branding. Talwandi Sabo Power will become Vedanta Power, while Malco Energy will be renamed Vedanta Oil and Gas. Asset transfers are also part of the plan:

  • Aluminium-related debentures to move to Vedanta Aluminium
  • BALCO stake to shift under aluminium business
  • Face value mostly set at Re 1, except power arm at Rs 10
  • Each unit to have focused balance sheet and assets

These changes are expected to simplify the corporate structure and improve operational clarity.

Listing timeline, valuation outlook and ownership clarity

Vedanta aims to list the four new entities by mid-May, shortly after the demerger becomes effective. The restructuring has already received approval from the National Company Law Tribunal, though it had initially faced concerns from the government over dues recovery. Chairman Anil Agarwal has indicated that the combined market value of the five entities could exceed the current valuation of over 27 billion dollars.

The promoter group is expected to retain around half of the shareholding in each company, ensuring control while allowing wider market participation.

What demerger means and impact on investors

A demerger is a corporate process where a large company splits its businesses into separate entities to improve efficiency and value discovery. For shareholders, it usually results in proportional allocation of shares in the new companies.

  • Better focus on individual business segments
  • Increased investment choices across sectors
  • Potential for higher combined market value
  • Clearer performance tracking of each unit

In Vedanta’s case, the move is seen as a strategic shift to unlock hidden value and attract sector-specific investors. The company’s stock reacted mildly to the announcement, closing slightly lower on the day, reflecting cautious market sentiment despite long-term expectations.
